INTRODUCTION
Thank you for using the Glory League platform (“Platform”) which is owned and licensed by Glory League Stats Limited (“Glory League”, “we”, “us”, “our”). These terms and conditions (“Terms”) apply to your use of our Platform, any websites, applications or social media accounts operated by us including www.gloryleague.com (our “Websites”), and the products, services, content and features we make available to you as part of the Platform and Websites (the “Services”).  By visiting our Websites, using any of our Services and/or registering to use our Platform, you agree that you have read, understood and accepted these Terms. You will be subject to these Terms whenever you use the Glory League Platform, Websites or Services. If you do not agree to be bound by these Terms, you must stop accessing and using the Platform, Websites and related Services.

OUR SERVICES

Glory League is a sports technology company that provides digital solutions for amateur and grassroots basketball organisations. We offer services designed to enhance the basketball experience for ‘everyday’ players, coaches, fans (family and friends), and administrators.  These services include a video engagement platform, digital scoring, and player statistics tracking. 

PRIVACY

Please review the Glory League Privacy Notice. By using our Websites and/or registering to use the Platform you agree that:

  1. Information collected through the Platform or Websites may include your personal information, and you agree to the terms of the Glory League Privacy Notice.  By registering to use the Platform or otherwise providing us with your contact details, you consent to receiving marketing, promotional and other material from us, including by way of electronic messages. 
  2. Where you upload to the Platform or Websites, or otherwise provide information to us, that includes the personal information of other individuals, you represent and warrant that those individuals have been provided with a copy of the Glory League Privacy Notice, and have authorised the disclosure of their personal information to us, and to any individual or entity who may access and use that information in accordance with these Terms, for the purposes set out in these Terms.

ELECTRONIC COMMUNICATIONS

By visiting our Platform or Websites or sending emails or other communications to Glory League, you are communicating with us electronically. You consent to receive communications from us electronically and agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.  You agree to be bound by any agreement reached through electronic communications.

GLORY LEAGUE INTELLECTUAL PROPERTY

The Platform, Websites and Services are protected under copyright and other laws of New Zealand. Unless otherwise stated, copyright and other intellectual property rights in the Platform, Websites and Services, including all content published to or made available to you through the Platform, Websites or Services, shall belong to us or our licensors. The software that operates the Platform may include proprietary software and you are not permitted to use such software except as expressly allowed under these Terms. Any other use or purported licensing, modification, enhancement or interference of such elements is strictly prohibited. Unless expressly authorised by us, you may copy, store and publish content from the Platform and Websites only for your own personal use, provided that you maintain all copyright and other notices contained in it. Any trademarks appearing on the Platform or Websites belong to us or our licensors. You are not permitted to use or reproduce, or allow anyone to use or reproduce our trade marks for any reason without our prior written permission.

PLATFORM REGISTRATION AND ACCOUNTS

To gain access to the Platform you must register an account with us by entering a valid email address and accurate, current, and complete information about yourself as prompted by the online registration form. In addition, you must select a password. You may not sell, exchange, trade or auction your account. You confirm that the data you provided to us on registering was at the time you provided it current, complete and accurate, and you agree to maintain and update the data as required to keep it so. Where you complete a registration in relation to the Platform:

  1. You will ensure that all usernames and passwords required to access the Platform are kept secure and confidential and you will notify us immediately of any unauthorised use of your password or any other breach of security.
  2. You may not transfer your account to another user or maintain more than one account with us without our consent.
  3. You confirm that the data you provided to us on registering as a Platform User was at the time you provided it current, complete, true and accurate, and you agree to maintain and update the data as required to keep it so.
  4. You release us from and renounce any claim in respect of or arising from any reasonable reliance by us upon any use of your password, including us disclosing information relating to your registration and/or affairs with us. You agree to indemnify and hold us, our officers and employees harmless from any claims, actions, costs (including legal costs), or losses by us or any third party due to or arising out of reasonable reliance by us or any third party upon any acts carried out, requests made or information provided through the use of your password. 
  5. We may, at our sole discretion, suspend or terminate your account and limit your access to the Platform for any reason (including, without limitation, a failure by you to comply with these Terms, or upon the request of the sporting association, league or team you are affiliated with and receive access to our Platform or Services through).

ACCESS TERMS

You may access and use the Platform, Websites and Services as made available to you, solely in accordance with these Terms. 

You must not, when using the Platform or Websites or otherwise receiving our Services: 

  1. use the Platform, Websites or Services for any purpose that is unlawful, criminal or prohibited by these Terms, or otherwise breach any applicable law or regulation;
  2. transmit or upload any information to the Platform or Websites which is not true and correct or which is or may be misleading or deceptive; 
  3. engage in any conduct that is in breach of our Good Behaviour Guide or any other conduct that we in our absolute discretion consider inappropriate;
  4. transmit or upload any information to the Platform in breach of any intellectual property laws, rights of privacy or any other applicable laws;
  5. copy, reproduce, translate, adapt, vary, transmit or modify the Platform without our express written consent;
  6. reverse engineer, decompile, or disassemble the Platform; or
  7. remove any copyright, trade mark, or proprietary rights notices included in or on the Platform or Websites, including any content made available by us on the Platform or any Website;
  8. access, reproduce, download, distribute, transmit, broadcast, display, sell, licence, alter, modify or otherwise use any part of the Platform, Websites or Services except as expressly authorised by Glory League;
  9. attempt to defeat, avoid, bypass, remove, deactivate, or otherwise circumvent any software protection mechanisms in the Platform including any mechanisms used to restrict or control the functionality of the software;;
  10. access the Platform or Websites using any automated means (such as robots, botnets or scrapers);
  11. collect or harvest any information that might identify a person (for example, usernames or faces);
  12. save to the extent expressly authorised by us, use any of our Services (including our content) other than for personal, non-commercial use; or
  13. engage in any conduct that may disrupt or interfere with the operation of the Platform or interfere with other users’ use and enjoyment of the Platform.

You are granted a limited, revocable, and nonexclusive right to create a hyperlink to the home page of the Glory League Site, so long as the link does not portray Glory League, or its products or services, in a false, misleading, derogatory, or otherwise offensive manner. 

Any breach of these access terms will be a breach of these Terms and we may suspend or terminate your access in our sole discretion.

Glory League reserves the right to withdraw or amend the Platform, Websites or Services at Glory League’s sole discretion for any reason, including to maintain, improve, modify or discontinue any aspect of the Platform or any Website or Service, without notice.

Glory League will not be liable if for any reason all or any part of the Platform or Websites is unavailable at any time or for any period. From time to time, Glory League may restrict access to some parts of the Platform or Websites, or the entire Platform or WebsiteSite, to users, including registered users. 

If you provide any other person with access to any part of the Platform (without the express and written permission of Glory League), it will be deemed a breach of these Terms and your right to use the Platform will stop immediately. 

RESTRICTIONS ON USE OF GLORY LEAGUE CONTENT

By registering to use the Platform, you agree to comply with Glory League’s Good Behaviour Guide. You must comply with the Good Behaviour Guide at all times when using our Platform, Websites and Services, including if you share content obtained through any of these to your social media accounts or otherwise in accordance with these Terms. Any breach of the Good Behaviour Guide will be deemed a breach of these Terms and, notwithstanding any other penalties that we may enforce as set out in our Good Behaviour Guide, we may suspend or terminate your account in our sole discretion.

In addition to complying with our Good Behaviour Guide, you agree that you are only permitted to use content published to, or made available to you, via our Platform, Websites or Services in the following manner:

  1. Access it on the platform to watch, relive and enjoy. Download a copy for personal use or share highlight links to personal social media. 
  2. You will not use any of our content for your own commercial purposes and you will not remove any copyright, trade mark, or proprietary rights notice included on our content.
  3. You will be responsible for complying with the Privacy Act 2020 (NZ), Privacy Act 1988 (Cth), Harmful Digital Communications Act 2015 (NZ) and all other applicable laws whenever you download, use or share our content.

The sporting association, league or team you are affiliated with may also impose restrictions on your use of content obtained through our Platform or Services. We are not responsible for the terms on which your association, league or team permits you to receive access to our Platform or Services and you acknowledge that any breach of such terms may result in us being requested to suspend or terminate your account or access rights.

LIVESTREAMING AND LINKS TO OTHER SITES

Our Websites may contain hyperlinks to third party websites. External hyperlinks are provided for your convenience only and may not remain current or be maintained. We make no endorsement of, and accept no responsibility for, any content accessible through any external hyperlink. We will not be liable for any damages or loss arising in any way out of or in connection with or incidental to any information or service provided by any third party. You are responsible for complying with any terms and conditions imposed by third party websites. Glory League provides the functionality to enable livestreaming through YouTube and Facebook.  If you use this functionality, you acknowledge that you must comply with the Terms of Service for YouTube (https://www.youtube.com/t/terms) and Facebook (https://m.facebook.com/legal/terms) and you agree to indemnify us from and against any cost or liability we incur or have to pay in dealing with any claim or demand, including reasonable lawyers’ fees, made by any third party due to or arising in any way out any breach by you of those Terms of Service.

DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

Any information, content, materials, products, software and services included or made available from the Glory League site are provided on an “as-is” and “as-available” basis.  Glory League makes no representations or warranties of any kind, express or implied, as to the operation of the Platform or Websites, including any information, content, materials, products, software and services provided through the Platform or Websites. 

You expressly agree that the use of the Platform and Websites is at your own risk.  To the fullest extent permitted by law, we exclude all liability in relation to the Platform, Websites and Services whether in contract, tort (including negligence) or otherwise, for any loss or damage however caused (including direct, indirect, consequential or special loss or damage, or loss of profits, loss of data, loss of savings and loss of opportunity).You agree to indemnify us against any cost, loss or liability we incur or have to pay in dealing with any claim or demand, including reasonable lawyers’ fees, made by any third party due to or arising in any way out of your use of the Platform, Websites or Services in breach of these Terms.

GENERAL

Changing this Agreement
We reserve the right to add to, modify, suspend, or remove the Platform, Websites or any Services at any time and without notice. We reserve the right to change these Terms from time to time by publishing amended Terms on the applicable Website. By continuing to access or use the Platform or Websites (as applicable) following notification of those changes, you accept the revised Terms. If you don’t agree to the new Terms, you should stop using the Platform and any Websites.

Severance
If it turns out that a particular term of these Terms is not enforceable for any reason, this will not affect any other terms.

No Waiver
If you fail to comply with this Agreement and we do not take immediate action, this does not mean that we are giving up any rights that we may have (such as the right to take action in the future).

Applicable Law

These Terms shall be governed by the laws of New Zealand and the courts of New Zealand shall have non-exclusive jurisdiction to hear and determine any dispute arising in relation to these Terms.
